1. Agreement to Terms

Welcome to canaandesigns.com. These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client", "you", or "your") and Canaan Designs LLC ("Company", "we", "us", or "our"), a limited liability company organized under the laws of the State of Georgia, United States.

By accessing or using our website, submitting an inquiry, or commissioning our design studio services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Studio Services & Project Scope

Canaan Designs LLC is a multidisciplinary digital and spatial design studio based in Warner Robins, Georgia. Our core professional capabilities include:

  • Digital Web Design & Development: Custom responsive websites, design systems, and frontend user experiences.
  • Commercial Spatial Layouts: Equipment placement zoning, workflow flowcharts, and 2D/3D spatial planning diagrams.
  • Brand & Identity Design: Vector logos, typography guidelines, brand kits, and collateral styling.
  • Application Interface Design: Wireframing, interactive prototyping, and mobile/web application design.

Specific deliverables, timelines, milestones, and pricing for bespoke engagements are defined in an individualized Statement of Work ("SOW") or written project estimate agreed upon prior to project commencement.

3. Intellectual Property & Deliverable Ownership

We believe in complete transparency regarding intellectual property:

  • Client Deliverables: Upon receipt of full payment for an authorized engagement, Canaan Designs LLC assigns to the Client all right, title, and interest in the finalized design deliverables created specifically for the project (such as finalized logos, bespoke website layouts, and project-specific spatial floor plan drawings).
  • Pre-Existing Materials & Studio Tools: Canaan Designs LLC retains all ownership of pre-existing design components, internal frameworks, starter boilerplate code, proprietary workflows, and design libraries utilized across studio projects.
  • Portfolio Showcase: Unless an explicit non-disclosure agreement ("NDA") is executed in writing, Canaan Designs LLC reserves the right to display approved, non-confidential project deliverables and mockups in our digital portfolio, case studies, and studio promotional channels.

4. Client Responsibilities & Materials

Smooth, on-time project execution requires active collaboration. The Client agrees to:

  • Provide necessary brand assets, copywriting, credentials, and technical specifications in a timely manner.
  • Guarantee that all text, imagery, trademarks, and third-party materials provided to Canaan Designs LLC are owned by the Client or properly licensed.
  • Designate a primary project representative authorized to make milestone approvals and submit feedback.
  • Review deliverables and provide consolidated feedback within agreed review cycles.

5. Spatial Layout & Drafting Disclaimer

Important Notice: Architectural floor plans, commercial zoning diagrams, and spatial layouts provided by Canaan Designs LLC are conceptual design documents intended for space planning, operational workflow optimization, and interior arrangement.

Canaan Designs LLC does not provide certified civil, structural, mechanical, or electrical engineering stamping. Where mandatory for local municipal building permits, code inspections, or structural modifications, the Client is responsible for retaining state-licensed architects or engineers of record.

6. Payments, Revisions & Milestones

Unless specified otherwise in an SOW:

  • Invoicing: Projects typically require an initial deposit prior to discovery kickoff, with remaining payments tied to milestone approvals and final deliverable transfer.
  • Feedback & Revisions: Standard project scopes include defined revision cycles at the concept phase and refinement phase. Out-of-scope revisions or substantial changes in project direction are quoted as written change orders before work begins.
  • Late Payments: Accounts past due by more than thirty (30) days may be subject to a pause on active design work until the balance is resolved.

Our total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by the Client to Canaan Designs LLC under the applicable Statement of Work during the preceding six (6) months.

8. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.
